1. Acceptance of Terms

By accessing or using The Solver platform (“the Service”) operated by The Solver (“we”, “us”, or “our”), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Service.

These terms apply to all users including account owners, team members, and clients who access the platform via a shared link or invitation.

The Solver is a formula management platform designed for cosmetics manufacturers. The Service includes tools for:

3. Regulatory Compliance Obligations

Important — Regulatory Flags Must Be Reviewed

Any regulatory flags generated by the platform must be reviewed and verified by a qualified person (such as a cosmetic chemist or regulatory professional) before a formula proceeds to production. The Solver provides compliance information as a guide only — it does not constitute regulatory advice and does not replace professional review.

The Solver provides automated regulatory flag checking as a convenience tool to assist users in identifying potential compliance issues in their formulas. These flags are generated based on data available within the platform and publicly available regulatory information. However:

The Solver accepts no liability for regulatory non-compliance arising from use of the platform’s regulatory tools.

4. Accounts & Access

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access or security breach.

5. Your Data

You retain ownership of all formula data, client records, and other content you upload to or create within the platform (“Your Data”). By using the Service, you grant us a limited licence to store, process, and display Your Data solely to provide the Service to you.

6. Intellectual Property

The Solver platform, including its software, design, algorithms, and documentation, is the intellectual property of The Solver. You may not copy, reverse engineer, resell, or redistribute any part of the platform.

Your formulas and data remain your intellectual property. We make no claim of ownership over content you create within the platform.

7. Limitation of Liability

To the maximum extent permitted by Australian law, The Solver shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

Our total liability to you for any claim shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

Nothing in these terms excludes liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded under Australian Consumer Law.

8. Payment & Subscriptions

Subscriptions are billed monthly or annually in advance. Prices are in Australian Dollars (AUD) and include GST where applicable.

8a. Refund Policy

We want you to be satisfied with The Solver. Here is our refund policy in plain terms:

Monthly subscriptions: You may cancel at any time. Your access continues until the end of the current billing period. We do not offer prorated refunds for partial months, except where required by Australian Consumer Law.

Annual subscriptions: If you cancel an annual subscription within 14 days of payment and have not made substantial use of the service, you are entitled to a full refund. After 14 days, we do not offer refunds on annual plans except where required by law. If your circumstances change significantly, contact us — we will consider requests on a case by case basis.

Australian Consumer Law: Nothing in this policy limits any rights you have under the Australian Consumer Law. If the service has a major failure, you are entitled to a remedy including a refund.

How to request a refund: Email [email protected] with your account email and the reason for your request. We will respond within 5 business days.

Disputes: If you believe you have been charged incorrectly, contact us within 30 days of the charge. We will investigate and correct any billing errors promptly.

9. Termination

You may terminate your account at any time. We may terminate or suspend your account if you breach these terms, fail to pay subscription fees, or engage in activity that is harmful to the platform or other users.

Upon termination, your access to the platform will cease. You will have 30 days to request an export of Your Data before it is permanently deleted.

10. Changes to These Terms

We may update these Terms & Conditions from time to time. We will notify you of material changes via email to your registered address or via an in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.
